Service

01. Scope of Agreement

These Terms of Service (“Terms”) constitute a legally binding agreement between Display World Digital Signage LLC (“Display World”, “we”, “us”) and the purchasing client, contractor, or commercial entity (“Client”, “Customer”, or “Buyer”) entering into a procurement purchase order, service agreement, or installation contract.

By issuing an official Purchase Order (PO), signing a quotation, confirming a project proposal, or utilizing our technical web services, the Client accepts and agrees to be bound by these Terms.

02. Quotations & Validity

• Currency & Taxation: All quoted figures are expressed in United Arab Emirates Dirhams (AED) or United States Dollars (USD) and are exclusive of Value Added Tax (VAT), which shall be charged at the statutory rate (currently 5% in the UAE) pursuant to Federal Tax Authority regulations.
• Technical Feasibility: Preliminary proposals are subject to a final physical site survey conducted by Display World senior audiovisual engineers. Any unforeseen site structural deficiencies or thermal limitations discovered during survey may require revised engineering scopes.

03. Site Preconditions & Power

Successful display installation requires rigorous architectural and electrical preparation. Prior to mobilization of our engineering crew, the Client is responsible for ensuring:

• Clean Power Distribution: Dedicated, surge-protected electrical distribution boards with stable voltage (±5%), neutral-to-ground isolation (< 2V), and independent circuit breakers calibrated to the peak in-rush current of the specified LED/LCD system.
• Structural Weight Load Bearing: Certified structural backing (steel uni-strut frames, concrete reinforcement, or load-rated drywall headers) verified by the Client’s base-build structural consultant to support the total static and dynamic load of the display.
• Thermal Ventilation & HVAC: Adequate ambient cooling maintaining operating environments within -10°C to +40°C for indoor displays, with required CFM airflow clearances behind recessed video walls.
• Network & Data Drops: Gigabit Ethernet termination at the media player location, isolated VLAN routing, and outward internet gateway bandwidth for cloud CMS synchronization.

04. Delivery & Installation

Display World manages comprehensive delivery, unboxing, precision mounting, and calibration under stringent safety standards:

• Access Permits: The Client shall arrange all necessary building management access permits, loading bay reservations, hot-work permits, and security clearance for our certified installation engineers.
• Storage & Staging: If the installation site is not ready on the confirmed delivery date, dry, secure, dust-free warehouse storage must be provided. Additional demurrage or storage charges may apply if site delays exceed fifteen (15) days.
• Health & Safety: Our personnel operate in strict adherence to Dubai Municipality Health and Safety codes, utilizing scaffolding, scissor lifts, and full PPE during all elevated rigging operations.

05. Commissioning & Handover

Following mechanical assembly and cabling, Display World conducts our proprietary 5-Stage Commissioning Protocol:

1. Module-level color uniformity and gray-scale calibration utilizing scientific photometers.
2. Cabinet seam micro-adjustment to eliminate panel gaps (< 0.1mm tolerance).
3. 72-hour continuous thermal and full-white burn-in test to expose infant mortality defects.
4. CMS video processor resolution scaling, latency verification, and failover switch testing.
5. Formal client demonstration and issuance of the Certificate of Completion & Handover.

Final acceptance shall be deemed confirmed upon Client signature of the Handover Certificate or upon Client placing the display into public or commercial broadcast use.

06. Warranty & Pixel Policy

All brand-new LED cabinets, video wall displays, and interactive touch kiosks supplied by Display World are backed by our comprehensive warranty:

• Standard Warranty Duration: Twenty-four (24) to thirty-six (36) months from handover date covering manufacturing defects, power supply units, sending/receiving cards, and panel drivers.
• Pixel Defect Policy: Fine-pitch LED panels adhere to ISO 13406-2 Class II standards. Any cluster of defective pixels (> 0.003% of total display resolution) will prompt complimentary on-site module replacement using factory spare batches.
• Exclusions: Warranty does not cover damages resulting from external voltage surges, water ingress into non-waterproof models, physical impact/vandalism, unauthorized third-party repairs, or failure to maintain required ambient HVAC temperatures.

07. AMC Support SLAs

For clients holding active Annual Maintenance Contracts (AMC), Display World guarantees rapid diagnostic and repair dispatch pursuant to the enrolled tier:

08. CMS & Content Ownership

The Client retains full copyright, intellectual property, and editorial responsibility for all digital media, advertising spots, video broadcasts, and interactive applications deployed across the signage network.

Display World retains all proprietary rights, patents, and trade secrets in our custom mounting engineering, hardware calibration firmware, and simulator algorithms.

09. Limitation of Liability

To the maximum extent permitted under UAE Federal Commercial Law:

• Display World shall not be held liable for indirect, incidental, consequential, or punitive damages, including loss of advertising revenue, anticipated profits, or commercial downtime.
• In any event, our aggregate commercial liability arising out of any hardware supply or installation engagement shall be strictly limited to the actual net amounts paid by the Client to Display World under the specific purchase order in dispute.

10. Force Majeure

Neither party shall be held liable for delivery delays or failure of performance caused by conditions beyond reasonable commercial control, including but not limited to acts of God, global maritime shipping embargoes, port closures, severe sandstorms or torrential floods, strikes, or regional import embargoes.

11. Governing Law & Jurisdiction

These Terms, all commercial quotations, and ongoing contractual engagements shall be governed by, construed, and enforced in accordance with the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates.

Any dispute, controversy, or claim arising out of or in connection with these Terms that cannot be amicably settled through senior executive mediation shall be submitted to the exclusive jurisdiction of the Dubai Civil Courts.
